Terms of Service

Please read these Terms of Service ("Terms") carefully before using any products or services offered by Pathway Golf Institute LLC ("PGI," "we," "us," or "our"), including SimpleSafe, PGI Essentials, SimplePace, and the Manager Portal (collectively, the "Services"). By purchasing, accessing, or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our Services, you confirm that you are at least 18 years old, have the authority to enter into this agreement on behalf of yourself or your organization, and agree to comply with these Terms. If you do not agree, do not use our Services.

2. Description of Services

PGI offers the following products and services:

• PGI Essentials — Online certification training for golf course marshal and starter staff.
• SimpleSafe — A staff incident documentation application for golf course operations.
• SimplePace — A pace-of-play tracking software platform for golf courses.
• Manager Portal — A web-based dashboard for course managers to review incidents, manage staff certifications, and track monthly readiness drills.

Services are provided on an annual subscription or one-time purchase basis as described at the time of purchase.

3. Account Registration

To access certain Services, you must register for an account using a valid access key issued by PGI following purchase. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Payment and Billing

All fees are stated in U.S. dollars. Payment is due at the time of purchase or as otherwise agreed. Subscription fees are billed annually. We use Stripe to process payments securely. By providing payment information, you authorize us to charge the applicable fees to your payment method.

All sales are final. We do not offer refunds except at our sole discretion or as required by applicable law.

5. Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
• Share, resell, or transfer your access key or account credentials to any third party without prior written consent from PGI.
• Attempt to reverse-engineer, decompile, or otherwise derive source code from any part of the Services.
• Use the Services in any manner that could damage, disable, or impair our systems or infrastructure.
• Submit false, misleading, or fraudulent information through any part of the Services.

6. Incident Documentation and Data

SimpleSafe is designed to assist golf course staff in documenting incidents. You acknowledge that:

• PGI does not provide legal advice, and nothing in the Services constitutes legal counsel.
• Incident records submitted through SimpleSafe are stored on your behalf. You are responsible for the accuracy and completeness of all information submitted.
• PGI is not responsible for any legal outcomes, claims, or disputes arising from incidents documented through the Services.
• You are solely responsible for determining how incident records are used, retained, or disclosed in connection with any legal proceedings.

7. Intellectual Property

All content, materials, software, training content, and branding associated with the Services are the exclusive property of Pathway Golf Institute LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose during your subscription term. No other rights are granted.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PGI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PATHWAY GOLF INSTITUTE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO PGI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pathway Golf Institute LLC and its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately. Sections 7, 8, 9, 10, and 13 survive termination.

12. Modifications to Services or Terms

We reserve the right to modify these Terms or the Services at any time. We will provide notice of material changes by updating the effective date on this page. Your continued use of the Services following any changes constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Texas.
